This Confidentiality Agreement is made this th Day of and agreed to for the benefit of , ("Tenant or Seller") of the property commonly known as " ( address)" located in (city), (State) ("Property") by the undersigned party ("Reviewing Party"):

Reviewing Party has requested the right to review certain financial information with respect to the Tenant ("Confidential Materials") in relation to a potential Sale of the Property to Reviewing Party by Seller.

Seller is willing to make the Confidential Materials available for Reviewing Party's review based upon the following conditions:

  1. Reviewing Party shall keep the Confidential Materials strictly confidential and shall use the Confidential Materials solely for the purpose of evaluating the suitability of the Tenant for the purchasing or leasing the property and for no other purposes;

  2. Neither Reviewing Party nor its directors, officers, partners, employees, agents advisors, attorneys, accountants, consultants or bankers (collectively "Representatives") shall make any reproduction of any of the Confidential Materials.

  3. Reviewing Party may only disclosed the contents of the Confidential Materials to its Representatives on a "need to know" basis;

  4. Reviewing Party acknowledges and understands that the broker, Commercial Investment Advisors Inc., does not make any representation or warranty whatsoever, express or implied, with respect to the content, completeness or accuracy of the Confidential Materials. Reviewing Party hereby releases the broker and each of his respective agents, shareholders, employees, officers, directors and affiliates (collectively the "Broker Group") from all claims, demands, causes of action, losses, damages, liabilities, costs or expenses asserted or incurred by Reviewing Party or its Representatives by reason of the Confidential Materials;

  5. Nothing contained herein shall be deemed to obligate Tenant Seller to negotiate with Reviewing party for the leasesale of the Property or to preclude Reviewing Party form continuing to market the Property and negotiate with other prospective purchasers;

  6. If Tenant Seller and Reviewing Party have not finalized a transaction with respect to the Property on for before thirty (30) days after execution of this document, Reviewing Party shall promptly return to Tenant Seller, at the Receiving Party's expense, all of the Confidential Materials.

  7. Contact with CIA Only. Prospective Purchaser/Broker agrees that any and all questions from Prospective Purchaser/Broker or Authorized Persons related to the Confidential Information or the Property must be directed solely to Commercial Investment Advisors Inc.
